Terms of Service

Last updated: August 31, 2026

These Terms of Service govern your use of Kovok's website and services. Kovok provides custom AI, automation and technology services designed to help businesses automate workflows and operational processes. The specific services, technologies and solutions provided by Kovok may vary depending on the requirements of each client.

By accessing our website or engaging Kovok for services, you agree to these Terms.

1. About Kovok

In these Terms, "Kovok", "we", "us" and "our" refer to the business operating under the name Kovok. At the time these Terms were published, Kovok operates as an independent business and may update its legal entity information if and when its business structure changes.

For questions regarding these Terms, you can contact us at: info@kovok.in

2. Our Services

Kovok provides customised services that may include:

  • AI agents
  • Business automation
  • Workflow automation
  • AI integrations
  • Custom software and technology solutions
  • API integrations
  • Python-based solutions
  • Automation platforms and workflows
  • Technical consulting and implementation
  • Other related services agreed with a client

Because our services are customised, the exact scope of work will usually be discussed and agreed separately with the client. Nothing on our website guarantees that a particular service, feature or technology will be suitable for every business or use case.

3. Project Scope

Before beginning a project, Kovok and the client may agree on details such as:

  • The work to be performed
  • Expected deliverables
  • Systems and tools involved
  • Access required
  • Project timelines
  • Automation levels
  • Human review requirements
  • Payment terms

The specific project arrangement may be documented through a proposal, statement of work, service agreement, email confirmation or another written arrangement agreed between Kovok and the client. If a separate written agreement applies to a specific project, that agreement will govern the relevant project to the extent it differs from these general Terms.

4. Client Responsibilities

Clients are responsible for providing accurate information about their requirements and intended use of the services. The client is also responsible for ensuring that it has the necessary rights, permissions and authority to provide Kovok with access to:

  • Data
  • Documents
  • Software
  • Accounts
  • APIs
  • Business systems
  • Other information or technology required for the project

Where a client provides personal information belonging to its customers, employees or other individuals, the client is responsible for ensuring that it has an appropriate legal basis and any necessary permissions to use that information for the intended purpose. Kovok is not responsible for determining whether information provided by a client was originally collected or obtained lawfully.

5. Access to Client Systems

Some projects may require Kovok to access systems, software, accounts or other technology controlled by the client. Where possible, access should be provided using appropriate permissions and access controls.

Clients remain responsible for their own accounts and systems, including maintaining control over their credentials and permissions. The client should inform Kovok promptly if any access provided to Kovok needs to be changed, restricted or revoked. Kovok may use client-provided access only as reasonably necessary to provide the agreed services.

6. AI and Automated Systems

Some services provided by Kovok may involve artificial intelligence, automated workflows or systems that can perform actions without direct human involvement. Depending on the client's requirements, a solution may be designed to:

  • Generate content or responses
  • Process information
  • Send communications
  • Update business systems
  • Trigger workflows
  • Schedule activities
  • Interact with customers or users
  • Perform other automated actions

Artificial intelligence and automated systems are not perfect. They may produce inaccurate, incomplete, unexpected or inappropriate results. For this reason, the client is responsible for determining whether a particular use case requires human review, approval processes, limits or other safeguards. Kovok does not guarantee that AI-generated or automated outputs will always be accurate, complete or error-free.

7. Fully Automated Actions

A client may request a system that performs certain actions automatically without human approval. Where the client chooses this type of implementation, the client acknowledges that the system may take actions based on its programming, configuration and the information available to it.

Before deploying a fully automated system, the client is responsible for considering whether the chosen level of automation is appropriate for its business and use case. Kovok may recommend safeguards, limitations or human review where we believe they are appropriate. However, unless otherwise agreed in writing, the client remains responsible for deciding whether and how to deploy automated actions within its business.

8. Third Party Technologies

Kovok may use third party technologies where necessary to provide a service. These may include:

  • AI model providers
  • Automation platforms
  • Cloud services
  • APIs
  • Communication platforms
  • Database providers
  • Other software and technology services

The specific technologies used may vary depending on the project. Third party services are operated independently from Kovok and may be subject to their own terms, service limitations, pricing, availability and policies. Kovok is not responsible for outages, interruptions, changes, discontinuation or failures caused by third party services outside our reasonable control.

Where a third party service requires separate payment, licensing or an account, responsibility for those arrangements will be determined as part of the relevant project.

9. Client Data

The client retains ownership of its data, business information and other materials provided to Kovok. Kovok may access, use and process Client Data only as reasonably necessary to:

  • Provide the agreed services
  • Build and configure the requested solution
  • Test and maintain the solution
  • Troubleshoot technical issues
  • Provide ongoing support where applicable

Kovok does not claim ownership of Client Data. Kovok will not use Client Data to train its own artificial intelligence or machine learning models unless expressly agreed with the client.

The handling of personal data may also be governed by a separate agreement or data processing arrangement where required by the nature of the project or applicable law.

10. Confidential Information

During a project, either party may share confidential business information with the other. Confidential information may include information such as:

  • Business strategies
  • Customer information
  • Financial information
  • Internal documents
  • Technical information
  • Login and access information
  • Business processes
  • Non-public project information

Each party agrees to use the other party's confidential information only for purposes related to the agreed business relationship and not to disclose it unnecessarily to third parties. This obligation does not apply to information that:

  • Is publicly available through no fault of the receiving party
  • Was already lawfully known to the receiving party
  • Is independently developed without using the confidential information
  • Must be disclosed by law or a valid legal requirement

More detailed confidentiality obligations may be included in a separate agreement for a particular project.

11. Intellectual Property

The client retains ownership of its existing intellectual property, including its data, content, branding, documents and other materials provided to Kovok. Unless otherwise agreed in writing, the client will receive the rights to use the custom deliverables specifically created for the client as part of the agreed project.

Kovok retains ownership of its pre-existing intellectual property and general know-how, including:

  • Frameworks
  • Methodologies
  • Templates
  • Reusable tools
  • Generic code
  • Internal systems
  • Processes
  • Techniques
  • Concepts developed independently of the client's confidential information

Nothing in these Terms prevents Kovok from using its general knowledge, experience or reusable components in other projects, provided that we do not disclose or misuse the client's confidential information. Any specific ownership or licensing arrangements may be agreed separately for an individual project.

12. Feedback

If a client provides suggestions or feedback about Kovok's services, we may use that feedback to improve our services, provided that we do not disclose the client's confidential information.

13. Fees and Payment

Fees, payment schedules and other commercial terms may be agreed separately for each project. Unless otherwise agreed in writing, invoices must be paid according to the payment terms provided to the client. Kovok may pause or delay work where payments remain overdue.

Any third party costs, software subscriptions, API usage fees or other external expenses will be handled according to the arrangements agreed for the relevant project.

14. Changes to Scope

Custom technology projects can evolve as requirements change. If a client requests work outside the originally agreed scope, Kovok may:

  • Provide a revised estimate
  • Adjust the timeline
  • Charge additional fees
  • Agree on a new scope before continuing

We are not required to perform additional work that has not been agreed upon.

15. No Guarantee of Business Results

Kovok provides technology and implementation services. We do not guarantee specific business outcomes unless expressly agreed in writing. For example, we do not guarantee that a solution will:

  • Increase revenue by a particular amount
  • Generate a specific number of leads
  • Reduce costs by a guaranteed percentage
  • Produce completely accurate AI outputs
  • Operate without interruption
  • Achieve a specific business result

The performance of a solution can depend on many factors outside Kovok's control, including the client's data, systems, configuration, third party services and business processes.

16. Availability and Maintenance

Unless ongoing maintenance or support is specifically included in a project arrangement, Kovok is not required to provide continuous support after a project has been completed.

Technology services and third party platforms may change over time. A solution that works at the time of delivery may later require updates because of changes to:

  • APIs
  • Software
  • AI models
  • Third party platforms
  • Security requirements
  • Client systems

Ongoing maintenance may be provided separately where agreed.

17. Suspension or Refusal of Services

Kovok may refuse, suspend or discontinue work where:

  • The requested use is unlawful
  • We reasonably believe the service could cause significant harm
  • The client provides misleading information
  • Required payments remain overdue
  • Necessary access is withdrawn
  • Continuing the work would create an unreasonable legal, security or technical risk

18. Limitation of Liability

To the maximum extent permitted by applicable law, Kovok will not be liable for indirect, incidental, special or consequential losses arising from the use of our services. This may include losses relating to:

  • Lost profits
  • Lost business opportunities
  • Business interruption
  • Loss of data
  • Reputational damage
  • Actions taken by automated systems

Kovok's total liability relating to a specific project will not exceed the amount paid by the client to Kovok for the services giving rise to the claim during the relevant project period, unless otherwise agreed in writing or required by applicable law. Nothing in these Terms excludes liability where it cannot legally be excluded.

19. Client Responsibility for Use of the Solution

Once a solution is delivered or deployed, the client is responsible for how it is used within its business. The client is responsible for:

  • Deciding how the solution is deployed
  • Determining who has access to it
  • Monitoring its use where appropriate
  • Maintaining appropriate business controls
  • Ensuring that its use complies with applicable laws and regulations

Kovok is not responsible for the client's independent use, modification or misuse of a delivered solution.

20. Website Content

The information on the Kovok website is provided for general information about our services. We may update, change or remove website content at any time. Website content should not be treated as legal, financial, regulatory or other professional advice.

21. Changes to These Terms

We may update these Terms from time to time as our services and business develop. The updated version will be published on our website with a revised "Last updated" date. Continued use of our website or services after an update may be subject to the updated Terms.

22. Governing Law

These Terms will be governed by the applicable laws determined by the relevant project arrangement or other legally binding agreement between Kovok and the client. Where no separate agreement specifies a governing law, the parties will seek to resolve disputes in good faith before pursuing formal legal action.
